Definitions

For the purpose of these Terms:

  • “Buildours” refers to the platform operator.
  • “Supplier” refers to vendors or manufacturers providing materials through the platform.
  • “Goods” include construction materials such as M-Sand, P-Sand, aggregates, and related products.
  • “Order” refers to an official purchase request issued through Buildours systems.
  • “Acceptance” refers to confirmation of goods after inspection by Buildours.

These Terms govern all engagements between Buildours and the Supplier.

Nature of Relationship

  • The Supplier operates as an independent vendor.
  • This Agreement does not create any partnership, agency, or employment relationship.
  • Suppliers do not have rights over:
    • Buildours customers
    • Business operations

Platform Rights

Buildours reserves the right to:

  • Approve or reject suppliers
  • Modify pricing and payment structures
  • Allocate or discontinue orders
  • Impose penalties for non-compliance
  • Suspend or terminate supplier access

All decisions are made in accordance with platform policies.

Security Deposit

  • A security deposit may be required based on operational needs.
  • The deposit is non-interest bearing and used for risk management.

Refund conditions include:

  • Termination of engagement
  • Completion of verification/audit period
  • Settlement of all dues

Buildours may adjust the deposit against valid claims, if applicable.

Order Compliance

  • Only orders issued through official Buildours channels are valid.
  • Suppliers are expected to:
    • Acknowledge orders within a reasonable time
    • Dispatch materials within agreed timelines

Failure to comply may result in reassignment or penalties.

Supply Obligations

  • Suppliers should maintain sufficient stock levels.
  • Timely fulfillment of confirmed orders is required.

Repeated delays or non-fulfillment may lead to reduced allocations or suspension.

Quality Assurance

  • Materials must meet agreed specifications and industry standards.
  • Buildours may conduct inspections:
    • At source
    • During dispatch
    • At delivery

Quality assessments will be handled as per platform policies.

Quantity Verification

  • Quantity may be verified using standard measurement methods.
  • Any discrepancies may be reviewed and resolved as per platform guidelines.

Delivery & Risk

  • Suppliers are responsible for goods until acceptance is confirmed.
  • This includes:
    • Proper handling
    • Safe transport coordination

Rejection & Replacement

  • Goods may be rejected in case of:
    • Quality issues
    • Non-compliance

Suppliers may be required to replace such goods within a reasonable timeframe.

Pricing Policy

  • Pricing is determined mutually or as per platform agreement.
  • Suppliers are expected to maintain consistency in pricing commitments.

Payment Terms

  • Payments are processed within a defined cycle (e.g., T+15 to T+45 days), subject to:
    • Delivery confirmation
    • Internal verification

Delays, if any, will be handled as per operational requirements.

Payment Adjustments

Buildours may adjust payments for:

  • Verified shortages
  • Quality-related issues
  • Operational discrepancies

Such adjustments will follow internal review processes.

Non-Circumvention

Suppliers are expected not to:

  • Bypass the platform for transactions
  • Directly engage with Buildours customers outside the platform

Violations may lead to suspension or termination.

Confidentiality

  • All platform-related data is confidential.
  • Suppliers must not use or disclose such data outside the scope of this engagement.

Fraud & Misconduct

Activities such as:

  • Misrepresentation
  • Incorrect billing
  • Supply of non-compliant materials

May result in:

  • Suspension
  • Financial penalties
  • Legal action where applicable

Compliance with Law

Suppliers are responsible for complying with:

  • Tax regulations (e.g., GST)
  • Licensing requirements

Applicable laws

Suspension & Termination

Buildours reserves the right to:

  • Suspend supplier access
  • Terminate the relationship

Based on performance, compliance, or policy violations.

Limitation of Liability

To the extent permitted by law:

  • Buildours shall not be liable for indirect or consequential losses
  • Suppliers operate independently and bear business risks

Indemnification

Suppliers agree to indemnify Buildours against:

  • Claims arising from supplier actions
  • Breach of obligations
  • Legal or regulatory issues

Dispute Resolution

  • Governed by the laws of India
  • Jurisdiction: Trichy, Tamil Nadu, India

Changes to Terms

Buildours may update these Terms periodically.
Continued use of the platform indicates acceptance.

Acceptance

By continuing to supply through Buildours, the Supplier:

  • Confirms understanding of these Terms
  • Agrees to comply with all applicable policies
